  1. Commercial Status (Strict B2B Transaction Standard)

  • Business-to-Business Standard: The digital storefront (aquaveris.co.uk/safety-documents) and associated checkout gateways provide procedural frameworks intended exclusively for commercial business-to-business (B2B) use by trade contractors, industrial supervisors, and safety professionals.

  • Consumer Law Exclusion: The purchaser confirms and warrants that they are acting in the course of a business, trade, or profession and not as an individual consumer under the Consumer Rights Act 2015.

  1. Statutory Non-Delegable Duty & Digital Publisher Exemption AquaVeris Solutions Ltd acts strictly as a digital technical publisher of procedural documentation frameworks. In accordance with established UK statutory health and safety law (Health and Safety at Work etc. Act 1974 ss 2 and 3) and binding precedent (R v Associated Octel Co Ltd [1996] and Williams v Natural Life Health Foods Ltd [1998]):

  • Non-Delegable Duty: Statutory health, safety, and welfare duties cannot be contracted out or delegated to a document publisher or software template provider.

  • Dutyholder Status: The purchasing contractor remains the sole legal Dutyholder under Regulation 3 of the Management of Health and Safety at Work Regulations 1999 (MHSWR) and Regulation 4 of the Work at Height Regulations 2005 (WAHR).

  • Field Verification Mandate: The purchaser warrants that an appointed competent person or certified supervisor (e.g., IRATA Level 3) will physically inspect live site anchors under BS 7883:2019 / BS EN 795, test rigging vector angles (<90 degrees), verify equipment logs under LOLER/PUWER, and conduct dynamic point-of-work risk assessments prior to commencing work.

  • Underwriting Negative Warranties: In compliance with the Insurance Act 2015, AquaVeris Solutions Ltd expressly disclaims and warrants that it does NOT:

    1. Act as an Appointed Competent Safety Person (MHSWR Reg 7) for any purchaser or site.

    2. Assume any statutory dutyholder appointment under CDM 2015 Regs 11–15 (Client, Principal Designer, Principal Contractor, Contractor, or SSO).

    3. Perform structural engineering calculations, anchor pull-testing certifications under BS 7883:2019, temporary works coordination under BS 5975, or manufacturing design under HSWA 1974 s6.

    4. Act as an Accountable Person (AP), Principal Accountable Person (PAP), or Building Regulations Principal Designer under the Building Safety Act 2022.

    5. Conduct statutory Thorough Examinations under LOLER Reg 9 or PUWER Reg 6.

    6. Provide live operational permits-to-work, real-time field supervision, or dynamic environmental monitoring.

  1. Contractual Limitation of Liability (UCTA 1977 Enforceability) To the maximum extent permitted under Section 11 and Schedule 2 of the Unfair Contract Terms Act 1977 (UCTA 1977):

  • Financial Liability Ceiling: The total aggregate financial liability of AquaVeris Solutions Ltd, its directors, employees, and agents arising out of or related to any claim, dispute, technical error, omission, or alleged document defect shall strictly not exceed 100% of the total purchase price paid by the customer for the specific product suite (maximum liability capped at £197.00).

  • Consequential Loss Exclusion: In no event shall AquaVeris Solutions Ltd be liable for indirect, special, incidental, punitive, or consequential economic losses, including:

    1. Contractor gate turnaways, audit rejections, or mobilization delays.

    2. Operative day-rate stand-down costs or unrecoverable labor expenses.

    3. Crane, plant, or MEWP hire stand-down fees.

    4. Project delay liquidated damages or Principal Contractor contra-charges.

    5. Damage to commercial reputation or suspension of SSIP/CHAS/Constructionline accreditations.

  • Statutory Non-Excludable Liability: Nothing in these terms excludes or limits liability for death or personal injury resulting from proven negligence, fraud, or fraudulent misrepresentation.

  1. Director Personal Insulation & Corporate Veil In accordance with Williams v Natural Life Health Foods Ltd [1998] 1 WLR 830, all commercial sales, documentation licenses, and compliance communications are executed strictly under the corporate personality of AquaVeris Solutions Ltd (Company No. 16480410). Company officers and technical contributors act solely as disclosed corporate agents and make zero personal assumption of duty to the purchaser, insulating personal assets from corporate disputes.

  2. Digital Fulfillment & Cancellation Rights Waiver In accordance with Regulation 37 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and commercial practice, digital goods (.docx, .xlsx, PDF, and cloud Google Docs copies) are provided immediately upon payment. The purchaser acknowledges that digital performance begins immediately upon purchase, and all statutory rights of cancellation are waived upon downloading, copying, or accessing the files.

Intellectual Property & Commercial License Scope All digital products, dynamic matrices, and procedural frameworks remain the proprietary intellectual property of Catherine Mimnagh, operated under commercial license by AquaVeris Solutions Ltd, and protected under the Copyright, Designs and Patents Act 1988:

  • Single-Site / Single-Crew License (Tier 1 & Tier 2): Grants a non-exclusive, non-transferable, perpetual operational license to customize and deploy documentation for internal site compliance on scopes managed directly by the licensee.

  • Company Master Pass (Tier 3): Grants an enterprise master license allowing concurrent deployment across all internal squads directly employed or contracted by the purchasing legal entity.

  • Restrictions: The purchaser shall not resell, sub-license, upload to public file-sharing networks, or incorporate AquaVeris frameworks into a competing commercial safety consultancy or publishing service.

  • Anti-Piracy Watermarking: Digital reference PDFs are dynamically stamped with transaction metadata and customer identifiers. Removing, obscuring, or tampering with digital watermarks constitutes a material copyright breach.

PART C: GENERAL STATUTORY & CORPORATE GOVERNANCE

  1. Third-Party Marketplace Supersession Any historical listings or third-party freelance marketplace profiles (including Fiverr or Upwork) are formally superseded by these terms for direct corporate transactions. All authorized purchases are fulfilled directly via the Company's integrated checkout engine.

  2. Statutory Corporate Disclosures (Companies Act 2006 s82)

  1. Severability If any provision of these terms is held invalid, illegal, or unenforceable by an English court or competent authority, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

  2. Governing Law & Jurisdiction These Terms of Use and Terms of Sale, and any non-contractual obligations arising from them, are governed exclusively by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim.
